Reimbursement for Attorneys’ Fees. The Company shall indemnify the Executive against reasonable costs, including legal fees and expenses, incurred by him in connection with or arising out of any action suit or proceeding in which he may be involved as a result of his efforts, in good faith, to defend or enforce his rights under this Agreement; provided, however, that he shall have substantially prevailed on the merits. The Company shall reimburse the Executive for his reasonable attorneys’ fees and costs incurred in the structuring and negotiation of this Agreement.

The amount of any such fees and expenses that the Company is obligated to pay pursuant to this Section 3A(f)(ii) in any given calendar year shall not affect the fees and expenses that the Company is obligated to pay in any other calendar year, and Executive’s right to have the Company pay such fees and expenses may not be liquidated or exchanged for any other benefit.

Any costs and expenses due and payable to Lender after the Closing Date may be paid to Lender pursuant to the Cash Management Agreement.
