Registration Rights Agreement Tag-Along Rights. Holdings agrees that the last paragraph of Section 2.3(a) of Registration Rights Agreement (which begins with the phrase, “Notwithstanding anything in this Section 2.3(a) to the contrary”) shall not apply to the Executive, other than in connection with an “IPO” (as defined in the Registration Rights Agreement).
