Common use of Receiving Party Personnel Clause in Contracts

Receiving Party Personnel. The Receiving Party will restrict the possession, knowledge and use of Confidential Information to its employees, contractors and entities controlled by it who (i) have a need to know Confidential Information in connection with the parties’ business relationship, and

Receiving Party Personnel. The Receiving Party will restrict the possession, knowledge and use of Confidential Proprietary Information to its directors, officers, employees, contractors and entities controlled by it contractors, affiliates, advisors, lenders or agents (collectively, “Personnel”) who (i) have a bona fide need to know Confidential Proprietary Information in connection with the parties’ business relationship, andReceiving Party’s evaluation of the Proposed Relationship and (ii) have executed written agreements obligating them to protect the Proprietary Information in a manner similar to the protections imposed by this Agreement.

Receiving Party Personnel. The Receiving Party will restrict the possession, knowledge and use of Confidential Information to its employees, contractors and entities controlled by it who (i) have a need to know Confidential Information in connection with the parties’ business relationship, andand (ii) have executed written agreements obligating them to protect the Confidential Information.

Receiving Party Personnel. The Receiving Party will restrict the possession, knowledge and use of Confidential Information to its employees, contractors and entities controlled by it (collectively, "Personnel") who (i) have a need to know Confidential Information in connection with the parties’ ' business relationship, andand (ii) have executed written agreements obligating them to protect the Confidential Information.

The Receiving Party will receiving the Confidential Information shall expressly restrict the possession, knowledge knowledge, development and use of Confidential Information to its partners, employees, contractors consultants, professional advisors, agents, subcontractors and entities controlled by it the Receiving Party or hired or engaged by the Receiving Party who (i) have a legitimate need to know Confidential Information in connection with the parties’ business relationship, andconfidential information.

Receiving Party Personnel. The Receiving Party will restrict the possession, knowledge and use of any Confidential Information to each of its employees, employees and sub-contractors and entities controlled by it ("Receiving Party Personnel") who (i) have a the need to know the specific Confidential Information in connection with their performance of Services. The Receiving Party shall ensure that the parties’ business relationship, andReceiving Party Personnel shall strictly comply with the confidentiality obligations under this Clause and shall remain fully liable for the acts and omissions of the Receiving Party Personnel.

The TEDC represents that all such individuals and entities agree to be bound by the parties’ business relationship, andterms of this Confidentiality Agreement.
