Rate of Business. No supplier, customer, distributor or sales agent of the Company has notified the Company that it intends to discontinue or decrease the rate of business done with the Company, except where such discontinuation or decrease is not reasonably likely to result in a Material Adverse Change.

Rate of Business. No supplier, customer, or distributor of the Company or any of the Subsidiaries has notified the Company or any of the Subsidiaries that it intends to discontinue or decrease the rate of business done with the Company, except where such decrease is not reasonably likely to have a Material Adverse Effect. Any certificate signed by an officer of the Company and delivered to FBR or to counsel for FBR pursuant to or in connection with this Agreement shall be deemed to be a representation and warranty by the Company, as applicable, to FBR as to the matters set forth therein.
