Common use of Public Statements Clause in Contracts

Public Statements. Except to the extent required by Applicable Law or the rules of any stock exchange or listing entity, neither party will make any public statements or releases concerning this Agreement or the transactions contemplated by this Agreement, or use the other party’s name in any form of advertising, promotion or publicity, without obtaining the prior written consent of the other party, which consent will not be unreasonably withheld or delayed.

Except The Parties agree that neither of them shall make any public statement regarding this Agreement, its terms or the other Party hereto, without the express advance written consent of such other Party. Notwithstanding the foregoing, any public statements required by law to be made, including submissions to the extent required by Applicable Law Securities and Exchange Commission or the rules of any stock exchange or listing entitymarket system on which its securities are listed, neither party will make any public statements or releases concerning this Agreement or shall be submitted to the transactions contemplated by this Agreement, or use the other party’s name in any form of advertising, promotion or publicity, without obtaining the prior written consent of the other partyreferenced Party for review and approval, which consent will approval shall not be unreasonably withheld or delayed.
