Proprietary Data; Software Sample Clauses

Proprietary Data; Software. The Software licensed hereunder is copyrighted property and constitutes trade secrets and proprietary data of a third party from whom Bank has obtained marketing rights, as are all materials provided by Bank in connection with its maintenance of the Software. Client obtains no title to, or ownership of, the Software or other materials licensed or received hereunder. Client hereby waives any and all rights and claims that it now has or may hereafter have against the third party from whom Bank has obtained marketing rights with respect to the Software. Client shall not transfer or disclose the Software to any other person, firm, or corporation except for those employees of Client who require such knowledge of the Software in the ordinary course and scope of their employment by Client.
