PROPER LAW AND FORUM. This Agreement shall in all respects be interpreted and construed in accordance with and governed by British Virgin Island laws and each party hereto irrevocably submits to the non-exclusive jurisdiction of the Hong Kong courts and waives all defences to any action arising hereunder brought in the courts of Hong Kong on the ground that such an action is brought in an inconvenient forum.
