Common use of Product and Service Warranties Clause in Contracts

Product and Service Warranties. Each product or service sold, licensed, distributed, delivered or offered by the Company is in conformity with all applicable contractual commitments and all express warranties in all material respects, and Company has no liability (and, to the Knowledge of Company, there is no basis for any present or future Claim against the Company giving rise to any liability) for violations thereof or other damages in connection therewith, subject only to the reserve set forth in the Financial Statements. No product sold, licensed, distributed or delivered by the Company is subject to any guaranty, warranty or other indemnity beyond the applicable standard terms and conditions of sale or lease, except for such guarantees, warranties and indemnities that are implied under applicable law and not disclaimable.

Product and Service Warranties. (a) Each product or service sold, licensedmanufactured, distributed, delivered sold, leased, or offered by delivered, and each service provided by, the Company is and its Subsidiaries has been in material conformity with all applicable contractual commitments warranty commitments, all applicable express and all express implied warranties and applicable Law.
