Common use of Prior Agreement Superseded Clause in Contracts

Prior Agreement Superseded. Pursuant to Section 5.6 of the Prior Agreement, the undersigned parties who are parties to such Prior Agreement hereby terminate the Prior Agreement upon the consummation of the transactions set forth in the Business Combination Agreement, with the intent and effect that the Prior Agreement shall hereby be replaced and superseded in its entirety by this Agreement.

Prior Agreement Superseded. Pursuant to Section 5.6 6.5 of the Prior Agreement, the undersigned parties who are parties to such Prior Agreement hereby terminate amend and restate the Prior Agreement upon the consummation of the transactions to read in its entirety as set forth in the Business Combination this Agreement, all with the intent and effect that the Prior Agreement shall hereby be terminated and entirely replaced and superseded in its entirety by this Agreement and all provisions of, rights granted and covenants made in the Prior Agreement are hereby waived, released and superseded in their entirety and shall have no further force or effect, including, without limitation, all rights of first refusal and any notice period associated therewith otherwise applicable to the transactions contemplated by the Purchase Agreement.

Pursuant to Section 5.6 4.2 of the Prior Rights Agreement, the undersigned parties who are parties to such Prior Rights Agreement hereby terminate restate the Prior Rights Agreement upon the consummation of the transactions to read in its entirety as set forth in the Business Combination this Agreement, with the intent and effect such that the Prior Rights Agreement shall is hereby be terminated and entirely replaced and superseded in its entirety by this Agreement.

Pursuant to Section 5.6 6.9 of the Prior Agreement, the undersigned parties who are parties to such Prior Agreement hereby terminate amend and restate the Prior Agreement upon the consummation of the transactions to read in its entirety as set forth in the Business Combination this Agreement, all with the intent and effect that the Prior Agreement shall hereby be terminated and entirely replaced and superseded in its entirety by this Agreement.
