Preamble and Effective Date. This Master Purchase Agreement (hereinafter “Agreement”) is made by and between CINGULAR Wireless LLC, a Delaware limited liability company, with its principal office located at 0000 Xxxxxxxxx Xxxxxxxxx, Xxxxxxx, Xxxxxxx 00000 (hereinafter “CINGULAR”) and MOTRICITY, Inc. with its principal office located at 0000 Xxxxxxxx Xxxxxxx, Xxxxxx, XX 00000 (hereinafter “MOTRICITY”). The effective date of this Agreement is the date when signed by the last Party (“Effective Date”)
