Common use of Positions Clause in Contracts

Positions. a. During the Employment Term, Executive shall serve as Executive Vice President and Chief Financial Officer of the Company. In such position, Executive shall have such duties, authority and responsibilities as shall be determined from time to time by the board of directors of the Company (the “Board”), which duties, authority and responsibilities shall be customary for Executive’s position in a business of a similar size, type and nature to that of the Company. Executive shall report to the Chief Executive Officer and President of the Company with respect to his responsibilities to the Company.

Positions. a. During the Employment Term, (a) Executive shall serve as Executive Vice President President, General Counsel and Corporate Secretary of the Company’s Board of Directors. Executive shall also serve, if requested by the Chief Financial Executive Officer of the Company. In such position, Executive shall have such duties, authority as an executive officer and responsibilities as shall be determined from time to time by the board director of directors subsidiaries and a director of Affiliates of the Company and shall comply with the policy of the Compensation Committee of the Company’s Board of Directors (the “BoardCompensation Committee”), which duties, authority and responsibilities shall be customary for Executive) with regard to retention or forfeiture of director’s position in a business of a similar size, type and nature to that of the Company. Executive shall report to the Chief Executive Officer and President of the Company with respect to his responsibilities to the Companyfees.

Positions. a. During the Employment TermTerm of Employment, the Executive shall serve be employed as Executive Vice President and Chief Financial Officer of the CompanyCompany and the Subsidiaries (for such period as they continue to be subsidiaries). In such position, the Executive shall have such the duties, responsibilities and authority normally associated with such office and responsibilities as shall be determined from time to time by the board of directors of the Company (the “Board”), which duties, authority position and responsibilities shall be customary for Executive’s position in a business of a similar size, type and nature to that of the Company. Executive shall report to the Chief Executive Officer and President Board of the Company with respect to his responsibilities to Directors of the Company.

Positions. a. During the Employment Term, Executive executive shall serve as Vice President, Resource Management. Executive Vice shall report directly to the President and Chief Financial Executive Officer of the Company. In such position, Executive Company (the "CEO") and shall have such duties, duties and authority and responsibilities commensurate with such position as shall be determined from time to time by the board of directors of the Company (the “Board”), which duties, authority and responsibilities shall be customary for Executive’s position in a business of a similar size, type and nature to that of the CompanyCEO. Executive shall report devote substantially all of his business time and best efforts to the Chief Executive Officer performance of his duties hereunder and President of the Company with respect to his responsibilities to the Companyshall not engage in any other business, profession or occupation for compensation or otherwise.

Positions. a. During the Employment Termperiod of Executive’s employment with the Company, Executive shall be employed and serve as Executive Vice President and the Chief Financial Officer and Vice President of the Company. In such positionpositions, Executive shall have such the duties, responsibilities and authority normally associated with the offices and responsibilities positions of Chief Financial Officer as shall be determined set forth in Exhibit A (that is attached to this Agreement and incorporated herein) and as otherwise established by the Company’s Board from time to time by the board of directors of the Company (the “Board”), which duties, authority and responsibilities shall be customary for Executive’s position in a business of a similar size, type and nature to that of the Companytime. Executive shall report to the Chief Executive Officer and President of the Company with respect to his responsibilities to the CompanyOfficer.

Positions. a. During the Employment Term, (a) Executive shall serve as Executive Vice President and Chief Financial Officer of the Company. In such position, Executive shall have such duties, authority and responsibilities as shall be determined from time to time by the board of directors of the Company (the “Board”), which duties, authority and responsibilities shall be customary for Executive’s position in a business of a similar size, type and nature to that President-General Merchandise Manager of the Company. Executive shall report to the Chief Executive Officer and President of the Company ("CEO") and shall have such duties and authority, consistent with respect to his responsibilities to position as Executive Vice President-General Merchandise Manager of the Company, as shall be assigned to him from time to time by the CEO.

Positions. a. During the Employment Term, Executive executive shall serve as Vice President, Administration. Executive Vice shall report directly to the President and Chief Financial Executive Officer of the Company. In such position, Executive Company (the "CEO") and shall have such duties, duties and authority and responsibilities commensurate with such position as shall be determined from time to time by the board of directors of the Company (the “Board”), which duties, authority and responsibilities shall be customary for Executive’s position in a business of a similar size, type and nature to that of the CompanyCEO. Executive shall report to the Chief Executive Officer and President of the Company with respect to his responsibilities to the Company.

Positions. a. During the Employment Term, Executive shall serve as an Executive Vice President and Chief Financial Officer/Chief Operating Officer of the CompanyEmployer. In such position, Executive shall have perform all duties consistent with these positions and such duties, authority and responsibilities duties as shall be determined reasonably prescribed from time to time by the board Chief Executive Officer or the Board of directors Directors of the Company Employer (the “"Board”"), which duties, authority and responsibilities shall be customary for Executive’s position in a business of a similar size, type and nature to that of the Company. Executive shall report directly to the Chief Executive Officer of Employer and President the Chairman of the Company with respect to his responsibilities to the CompanyBoard.

Positions. a. During the Employment TermTerm of Employment, the Executive shall serve be employed as Executive Vice President in charge of sales for the Company and Chief Financial Officer of the CompanySubsidiaries (for such period as they continue to be subsidiaries). In such position, Executive shall have such duties, authority and responsibilities as shall be determined from time to time by the board of directors of the Company (the “Board”), which duties, authority and responsibilities shall be customary for Executive’s position in a business of a similar size, type and nature to that of the Company. Executive shall report to the Chief Executive Officer and President Board of the Company with respect to his responsibilities to Directors of the Company.

Positions. a. During the Employment Term, Executive shall serve as Executive the Senior Vice President and Chief Financial Officer of the CompanyEmployer. In such position, The Executive shall have report directly to the Chief Executive Officer of Employer and shall perform all duties consistent with these positions and such duties, authority and responsibilities duties as shall be determined prescribed from time to time by the board of directors of the Company (the “Board”), which duties, authority and responsibilities shall be customary for Executive’s position in a business of a similar size, type and nature to that of the Company. Executive shall report to the Chief Executive Officer and President or the Board of Directors of Employer (the Company with respect to his responsibilities to the Company"Board").

Positions. a. During the Employment Term, (a) Executive shall serve as Executive Vice President President, Lodging and Chief Financial Officer of the Company. In such position, Executive shall have such duties, authority and responsibilities as shall be determined from time to time by the board of directors of the Company (the “Board”), which duties, authority and responsibilities shall be customary for Executive’s position in a business of a similar size, type and nature to that Vacation Packages of the Company. Executive shall report to also serve, if requested by the Chief Executive Officer of the Company, as an executive officer and President director of subsidiaries and a director of Affiliates of the Company and shall comply with respect to his responsibilities to the policy of the Compensation Committee of the Company’s Board of Directors (the “Compensation Committee”) with regard to retention or forfeiture of director’s fees.

Positions. a. During the Employment Term, (a) Executive shall serve as Executive Vice President and & Chief Financial Officer of the Company. In such position, Executive shall have such duties, authority and responsibilities as shall be determined from time to time by the board of directors of the Company (the “Board”), which duties, authority and responsibilities shall be customary for Executive’s position in a business of a similar size, type and nature to that of the Company. Executive shall report to the Chief Executive Officer and President of the Company ("CEO") and shall have such duties and authority, consistent with respect to his responsibilities to position as Executive Vice President & Chief Financial Officer of the Company, as shall be assigned to him from time to time by the CEO.

Positions. a. During the Employment Term, Executive shall serve as Executive Vice Vice-President and Chief Financial Officer of the Company- Human Resources & Administration. In such position, Executive shall have such duties, authority and responsibilities as shall be determined from time to time by the board of directors Chief Executive Officer of the Company (the “Board”)Company, which and such duties, authority and responsibilities shall be customary for Executive’s position in a business of a similar size, type and nature to that of the Company. Executive shall report to the Chief Executive Officer and President of the Company with respect to his responsibilities to the Company.
