Position Title As a (“Position”), the Employee is required to perform all of their necessary job functions and duties, and all other duties that may be assigned to Employee from time to time by Employer. This is a ☐ Part- Time ☐ Full-Time position with the expectation that the Employee will devote hours per week to the Position. This may change from time to time as the Employer sees fit.
Section Titles The Section titles contained in this Agreement are and shall be without substantive meaning or content of any kind whatsoever and are not a part of the agreement between the parties hereto.
Position During the Term, Employer shall employ Executive, and Executive shall serve, as Chief Executive Officer, reporting to the Board of Directors of Employer (the “Board”). Executive shall have the duties, responsibilities and authority as are typical for such position at companies of comparable size to Employer and within Employer’s industry, including general executive authority over Employer’s affairs arising in the ordinary course of business, and shall perform the other services and duties as determined from time to time by the Board.
Position Descriptions Individual position descriptions shall be reduced to writing and delineate the duties currently assigned to an employee’s position. A dated copy of the position description shall be given to the employee upon assuming the position and when the position description is amended. The individual position description shall be subject to at least an annual review with the employee. Nothing contained herein shall compromise the right or the responsibility of the Agency to assign work consistent with the classification specification.
Paragraph Titles Article and section titles are for descriptive purposes only and shall not control or alter the meaning of this Agreement as set forth in the text.
Position and Title The Company hereby agrees to employ the Employee in the position(s) described on Addendum A attached hereto and the Employee hereby accepts such position(s) and agrees to serve the Company, including Company Affiliates (as defined below), in such capacity until this Agreement expires as set forth in Addendum A or this Agreement is earlier terminated by one of the parties in accordance with the terms set forth in Section 4 below.
Position Description The employee shall be responsible for drafting his/her position description form and shall forward it to his/her supervisor for approval. When the employee and the supervisor disagree on the job description, they shall meet promptly and attempt to reach an agreement on the employee’s job duties. In the event that an agreement cannot be reached, the supervisor will finalize the job description in accordance with the supervisor’s understanding and expectations of the position. The employee may submit his or her comments for the classification analyst to consider when reviewing the position description.
Positions From and after the Effective Date, Company shall employ Executive in the position of Chief Executive Officer of Company, or in such other positions as the parties mutually may agree.
Position and Responsibilities During the term of Executive’s employment hereunder, Executive agrees to serve as an Executive Vice President of the Bank. Executive shall perform administrative and management services for the Bank which are customarily performed by persons in a similar executive officer capacity. During said period, Executive also agrees to serve as an officer and director of any subsidiary of the Bank or the Company, if elected.
Agent Titles Each Lender, other than Bank of America, that is designated (on the cover page of this Agreement or otherwise) by Bank of America as an “Agent” or “Arranger” of any type shall not have any right, power, responsibility or duty under any Loan Documents other than those applicable to all Lenders, and shall in no event be deemed to have any fiduciary relationship with any other Lender.
