Performance of a Covered Entity’s Obligations. To the extent iManage is to carry out a Covered Entity obligation under the Privacy Rule, iManage shall comply with the requirements of the Privacy Rule that apply to Customer in the performance of such obligation.

  • Conditions to Each Party’s Obligation The respective obligations of each party to effect the transactions contemplated by this Agreement shall be subject to the satisfaction prior to or on the Closing Date of the following conditions:
