Performance Measure and Performance Goals. The performance measure under this Award shall be the Company’s earnings before interest, taxes, depreciation and amortization (“EBITDA”). The performance goals under this Award shall be based on the three-year cumulative EBITDA as a percentage of net sales of the Company over the Performance Period.
