Key Performance Indicators. 10.1 The Supplier shall at all times during the Framework Period comply with the Key Performance Indicators and achieve the KPI Targets set out in Part B of Framework Schedule 2 (Goods and/or Services and Key Performance Indicators).
Key Performance Indicators. 3.1 The KPIs applicable to this Framework Agreement are set out in Framework Schedule 2 (Goods and/or Services and Key Performance Indicators).
3.2 The Supplier shall establish processes to monitor its performance against the agreed KPIs. The Supplier shall at all times ensure compliance with the standards set by the KPIs.
3.3 The Authority shall review progress against these KPIs to evaluate the effectiveness and efficiency of which the Supplier performs its obligations to fulfil this Framework Agreement.
3.4 The Supplier’s achievement of KPIs shall be reviewed during the Supplier Review Meetings, in accordance with paragraph 2.2 above, and the review and ongoing monitoring of KPIs will form a key part of the framework management process as outlined in this Framework Schedule 8.
3.5 The Authority reserves the right to adjust, introduce new key performance indicators, or remove KPIs throughout the Framework Period, however any significant changes to KPIs shall be agreed between the Authority and the Supplier.
3.6 The Authority reserves the right to use and publish the performance of the Supplier against the KPIs without restriction.
Key Performance Indicators. (a) The Custodian and the Funds may from time to time agree to document the manner in which they expect to deliver and receive the services contemplated by this Agreement. The parties agree that any such key performance indicators (hereinafter referred to as “KPIs” or, individually as a “KPI”) shall be agreed upon in writing by the parties and shall be reflected in one or more schedules to this Agreement. The Custodian and the Funds acknowledge that any failure to perform in accordance with KPIs shall not in and of itself be considered a breach of contract that gives rise to contractual or other remedies provided that such failure may be a breach giving rise to contractual or other remedies if it is persistent and not remedied after consultation. Nothing in this Section 11 shall modify any party’s applicable standard of care under this Agreement; nor shall any meeting or discussion among the parties regarding KPIs be construed to prevent a party from pursuing any remedy otherwise available to it pursuant to this Agreement.
(b) The parties agree to periodically review the Custodian’s performance against the KPIs. Where any such review reveals that the Custodian’s performance with respect to any KPI has been unsatisfactory, as measured in accordance with any schedule to this Agreement pertaining to such KPI, for three consecutive months (a “Rectification Trigger”), the Funds may, in their sole discretion, invoke the process set out in this Section 11(b):
(i) The Custodian shall investigate, assemble and preserve (in accordance with its records management policy) all pertinent information with respect to, and report the root causes of the problem that led to, the Rectification Trigger;
(ii) The Custodian shall propose an appropriate written corrective action plan (“Rectification Plan”) with respect to such failure and in any event within ten (10) business days, or as otherwise reasonably agreed by the parties. The Rectification Plan shall set out the anticipated improvements (“Anticipated Improvements”) and the timeline over which those improvements are expected to be realized (“Plan Period”), which shall be no longer than sixty (60) days (without the Funds’ prior written consent). Key Performance Indicators. (a) If requested by the Access Holder, ARTC will report actual performance against each of the Key Performance Indicators, within a reasonable period following the completion of the reporting period specified in Schedule 4, as determined by ARTC having regard to the specific characteristics of each indicator.
(b) The parties will meet regularly, and in any case at least once each Contract Year, for the purpose of discussing actual performance against the Key Performance Indicators in Schedule 4.
(c) If requested by a party, the other party agrees to include one or more Operators in a review of performance against the Key Performance Indicators, as contemplated at clause 3.13(a).
(d) The Key Performance Indicators will be reviewed in good faith by ARTC and the Access Holder at least once every two Contract Years and, in any case, promptly following a review of the Network Key Performance Indicators.
Key Performance Indicators. The Authority shall measure the performance of the Contractor with reference to the Key Performance Indicators detailed at paragraph 8 below and shall be entitled to claim a Payment Rebate in the event that the Contractor fails to meet the KPI Targets. Without prejudice to the obligations specified in this Agreement, the Concessionaire shall operate the Bus Terminal such that it achieves or exceeds the performance indicators specified in this Article 21 (the "Key Performance Indicators") and set forth in Operation and Maintenance under Schedule-K of this Agreement. However, the provisions of Article 21 shall not apply to the additional work(s) in Bus Terminal created under the provisions of Clause 16.1 and shall apply to the additional work(s) in Bus Terminal created under the provisions of Clause 16.3.2.
