Payment Upon Termination by EMPLOYER. Notwithstanding any provision in this Agreement to the contrary, if EMPLOYER terminates EMPLOYEE's Employment without cause pursuant to Section 3.3 hereof, EMPLOYEE shall be entitled to his then base salary for six (6) months at the rate of the base salary then in effect, which six month period shall begin on the Effective Date of the Termination (the "Severance Benefits"), plus the prorated share of vested options due under Section 2.2.1 above. The obligation to pay Severance Benefits shall not be subject to credit, set-off or diminution by reason of the fact that EMPLOYEE may be gainfully employed during the period that such Severance Benefits are payable.

In the event Employee resigns from the Company for any other reason, Employee will not be entitled to receive or accrue any further Company benefits or other remuneration under this Agreement, and Employee specifically agrees that he will not be entitled to receive any severance pay.
