Common use of PARTIES TO COOPERATE Clause in Contracts

PARTIES TO COOPERATE. (a) The Parties shall cooperate fully in any insurance or securities regulatory examination, investigation, or proceeding or any judicial proceeding with respect to AGL, AGSI, DISTRIBUTOR, and their respective affiliates, agents and representatives to the extent that such examination, investigation, or proceeding arises in connection with Contracts distributed under this Agreement. The Parties shall furnish applicable federal and state regulatory authorities with any information or reports in connection with its services under this Agreement that authorities may request in order to ascertain whether AGL's operations are being conducted in a manner consistent with any applicable law or regulations.
