Parent's Consolidating Operations. In the event that, (i) for any fiscal year ending after the Closing Date, the Parent's consolidated revenues or expenses exceeds $5,000,000, excluding, respectively, all revenues and expenses of the Borrower and its Subsidiaries, all revenues constituting interest income received with respect to the Subordinated Intercompany Note and all expenses constituting interest expenses with respect to the Parent Subordinated Debt or (ii) as of the last day of any fiscal month ending after the Closing Date, the Parent's consolidated assets or liabilities exceeds $5,000,000, excluding, respectively, all assets and liabilities of the Borrower and its Subsidiaries, all assets constituting the Subordinated Intercompany Note and deferred financing costs with respect to the Parent Subordinated Debt and all liabilities constituting Parent Subordinated Debt, then, notwithstanding the other provisions of this Section 6.4, all monthly, quarterly and annual financial statements and projections required by this Sections 6.4 shall be prepared with respect to the Borrower and its consolidated Subsidiaries (instead of with respect to the Parent and its consolidated Subsidiaries) otherwise in accordance with Sections 6.4(b), (c) and (g), and an annual accountants' opinion shall be delivered with respect to such annual financial statements of the Borrower and its consolidated Subsidiaries otherwise in accordance with Section 6.4(c). In the event that financial statements or projections with respect to the Borrower and its Subsidiaries are delivered to the Agent and the Lenders pursuant to this section, all financial accounting definitions and other financial accounting provisions contained in this Agreement which, as currently written, require an examination or analysis of the financial condition or performance for any accounting period of the Parent and its Subsidiaries shall be construed to mean and refer to the financial condition or performance of the Borrower and its Subsidiaries for such accounting period.

The Company shall not effect any such consolidation, merger or sale unless (a) the Company provides the holder hereof with not less than 10 days prior written notice of such consolidation, merger or sale (provided that the failure to give such notice shall not affect the validity of such corporate event), and (b) prior to the consummation thereof, the successor entity (if other than the Company) resulting from consolidation or merger or the entity purchasing such assets assumes, by written instrument, the obligation to deliver to each such holder such shares of stock, securities or assets as, in accordance with the foregoing provisions, such holder may be entitled to acquire.

Any agreement of merger, reorganization, consolidation, exchange or conversion or certificate of merger, certificate of conversion or other applicable certificate may be signed by a majority of the Trustees or an authorized officer of the Trust and facsimile signatures conveyed by electronic or telecommunication means shall be valid.

  • Review of Financial Statements For a period of five (5) years after the date of this Agreement, the Company, at its expense, shall cause its regularly engaged independent registered public accounting firm to review (but not audit) the Company’s financial statements for each of the three fiscal quarters immediately preceding the announcement of any quarterly financial information.
