Ownership of Purchaser. The Purchaser Parent owns, directly or indirectly, 100% of the issued and outstanding shares of the Purchaser.

Ownership of Purchaser. Parent owns beneficially and of record all of the shares and interests in Purchaser, free and clear of any Liens, proxies, voting trusts or restrictions whatsoever, except restrictions on transfer under any applicable securities laws. There are no outstanding options, warrants, conversion or other rights or agreements of any kind (except as contemplated hereby) for the purchase from, or the sale or issuance by, Parent of any interest or stock in Purchaser. Each of the outstanding shares of capital stock of Purchaser is duly authorized, validly issued, fully paid and non-assessable. Parent is not a party to any obligation (contingent or otherwise) to buy or sell Purchaser.
Ownership of Purchaser. Rxxx owns 51% and Rxxx Xxxxxxx (“Rxxx”) owns 49% of the issued and outstanding equity securities of Purchaser.
Ownership of Purchaser. The Purchaser is indirectly 100% beneficially owned by the Xxx Xxxxxx Xxxxxxxxxx Trust (the “Trust”) and, prior to the date hereof, the Purchaser has disclosed to the Company all trustees of the Trust and any beneficiary of the Trust with a greater than 50% beneficial ownership in the Trust.
Ownership of Purchaser. As of the date hereof, Purchaser Guarantor is the legal and beneficial direct owner of all of the issued and outstanding shares of Purchaser with good title thereto free and clear of any and all encumbrances.
Ownership of Purchaser. Xxxxx Xxxxx and his Related Parties (as defined in the Financing Documents) together hold beneficially, directly or indirectly, issued share capital of the Purchaser having the right to cast more than 50% of the votes capable of being cast in a general meeting of the Purchaser or the right to determine the composition of the majority of the board of directors or equivalent body of the Purchaser.
