Common use of Other Shares Clause in Contracts

Other Shares. As of the date of this Agreement, FCM and ▇▇. ▇▇▇▇▇▇▇▇▇ have the right to vote 30,800 shares (the “Separate Shares”) that are currently held in individually managed accounts, which shares are not included in the definition of “Existing Common Stock”. For so long as the Separate Shares are held in such individually managed accounts, FCM and ▇▇. ▇▇▇▇▇▇▇▇▇ agree that each such Separate Share shall be treated as it was included within the definition of Covered Common Stock for purposes of Sections 2.1, 2.2 and 2.3 hereof.
