Common use of Other Agreements; Performance Undertaking Clause in Contracts

Other Agreements; Performance Undertaking. Borrower will not amend, restate, supplement, cancel, terminate or otherwise modify the Receivables Sale Agreement or the Performance Undertaking, or give any consent, waiver, directive or approval thereunder or waive any default, action, omission or breach under any of the foregoing or otherwise grant any indulgence thereunder, without (in each case) the prior written consent of each of the Agents.

Other Agreements; Performance Undertaking. The Borrower will not amend, restate, supplement, cancel, terminate or otherwise modify the Receivables Contribution and Sale Agreement or the Performance Undertaking, or give any consent, waiver, directive or approval thereunder or waive any default, action, omission or breach under any of the foregoing or otherwise grant any indulgence thereunder, without (in each case) the prior written consent of the Administrator and each of Lender. The Borrower hereby reaffirms the AgentsPerformance Undertaking and the Intercreditor Agreement.
