Common use of Other Activities Clause in Contracts

Other Activities. Except upon the prior written consent of the Company, Executive will not, during the term of this Agreement, (i) accept any other employment, or (ii) engage, directly or indirectly, in any other business activity (whether or not pursued for pecuniary advantage) that might interfere with Executive’s duties and responsibilities hereunder or create a conflict of interest with the Company.

Other Activities. Except upon the prior written consent of the Company, Executive will not, during the term of this Agreement, (i) accept any other employment, or (ii) engage, directly or indirectly, in any other business activity (whether or not pursued for pecuniary advantage) that might interfere with Executive’s 's duties and responsibilities hereunder or create a conflict of interest with the Company.

Other Activities. Except upon the prior written consent of the Company, Executive will not, during the term of this Agreement, (i) accept any other employment, or (ii) engage, directly or indirectly, in any other business activity (whether or not pursued for pecuniary advantage) that might interfere with Executive’s duties and responsibilities hereunder or create a conflict of interest with the Company; provided, however, that Executive may serve on civic or charitable boards or engage in charitable activities without remuneration if doing so is not inconsistent with, or adverse to, Executive’s employment hereunder.

Except upon the prior written consent of the Company, Executive will not, during the term of this Agreement, (i) accept any other employment, or (ii) engage, directly or indirectly, in any other business activity (whether or not pursued for pecuniary advantage) that might interfere with Executive’s duties and responsibilities hereunder or create a conflict of interest with the Company.

Except upon the prior written consent of the CompanyCompany and HoldCo, Executive will not, during the term of this Agreement, (i) accept any other employment, or (ii) engage, directly or indirectly, in any other business activity (whether or not pursued for pecuniary advantage) that might interfere with Executive’s duties and responsibilities hereunder or create a conflict of interest with the CompanyCompany or HoldCo.

Other Activities. Except upon the prior written consent of the Company, Executive will not, during the term of this Agreement, not (i) accept any other employment, or (ii) engage, directly or indirectly, in any other business activity (whether or not pursued for pecuniary advantage) that is or may be in conflict with, or that might interfere with place Executive in a conflicting position to that of, the Company. Notwithstanding the foregoing, while the Company does not request Executive’s duties and responsibilities hereunder or create a service on the boards of directors of other corporations, the Company does not, in principle, object to such service where Executive would have no conflict of interest with duties owed to the Company.

Other Activities. Except upon the prior written consent of the CompanyBank, Executive will not, during the term of this Agreement, (i) accept any other employment, or (ii) engage, directly or indirectly, in any other business activity (whether or not pursued for pecuniary advantage) that might interfere with Executive’s duties and responsibilities hereunder or create a conflict of interest with the CompanyBank.

Except upon the prior written consent of the Company, Executive will not, during the term of this Agreement, (i) accept any other employment, or (ii) engage, directly or indirectly, in any other business activity (whether or not pursued for pecuniary advantage) ), that might interfere with Executive’s duties and responsibilities hereunder or create a conflict of interest with the Company.

Except upon the prior written consent of a majority of the Companymembers of the Board of Directors (the "Board"), Executive will not, during the term of this Agreement, (i) accept any other employment, or (ii) engage, directly or indirectly, in any other business activity (whether or not pursued for pecuniary advantage) that might interfere with Executive’s 's duties and responsibilities hereunder or create a conflict of interest with the Company.

Other Activities. Except upon the prior written consent of the Company, Executive will not, during the term of this AgreementTerm, (i) accept any other employment, or (ii) engage, directly or indirectly, in any other business activity (whether or not pursued for pecuniary advantage) that might interfere with Executive’s duties and responsibilities hereunder or create a conflict of interest with the Company.

Except upon the prior written consent of the Company, Executive will not, during the term of this Agreement, (i) accept any other employment, or (ii) engage, directly or indirectly, in any other business activity (whether or not pursued for pecuniary advantage) that might interfere interferes with or is inconsistent with Executive’s performance of this Agreement or interferes with Executive’s duties and responsibilities hereunder or create creates a conflict of interest with the Company.

Other Activities. Except upon the prior written consent of the CompanyBoard, or as disclosed on Schedule A of this Agreement, the Executive will not, during the term of this Agreement, (i) accept any other employment, or (ii) engage, directly or indirectly, in any other business activity (whether or not pursued for pecuniary advantage) ), that might interfere with Executive’s duties and responsibilities hereunder or create a potential conflict of interest with the Company.

Other Activities. Except upon the prior written consent of the Company, Executive will not, during the term of this Agreement, (i) accept pursue any other employment, or (ii) engage, directly or indirectly, in any other business activity (whether or not pursued for pecuniary advantage) that might interfere with Executive’s duties and responsibilities hereunder or create a conflict of interest with the Company.

Other Activities. Except upon the prior written consent of the Company, Executive will not, during the term of this Agreement, (i) accept any other employment, or (ii) engage, directly or indirectly, in any other business activity (whether or not pursued for pecuniary advantage) that might interfere with Executive’s duties and responsibilities hereunder or create a conflict of interest with the CompanyCompany or Derycz.

Other Activities. Except upon the prior written consent of the Company, Executive will not, during the term of this Agreement, not (i) accept any other employment, or (ii) engage, directly or indirectly, in any other business activity (whether or not pursued for pecuniary advantage) that is or may be in conflict with, or that might interfere with Executive’s duties and responsibilities hereunder or create place Executive in a conflict of interest with conflicting position to that of, the Company.

Other Activities. Except upon the prior written consent of the Company, Executive will not, during the term of this Agreement, (i) accept any other employment, or (ii) engage, directly or indirectly, in any other business activity (whether or not pursued for pecuniary advantage) that might interfere with Executive’s duties and responsibilities hereunder or create a conflict of interest with the Company, provided that Executive is expressly permitted to serve on the governing boards of entities that do not compete with the Company.

Other Activities. Except upon the prior written consent of the Company’s Board of Directors, Executive will not, during the term of this Agreement, (i) accept commence any other employment, or (ii) engage, directly or indirectly, in any other business activity (whether or not pursued for pecuniary advantage) that might would interfere with Executive’s duties and responsibilities hereunder or create a conflict of interest with the Company.

Other Activities. Except upon the prior written consent of the Company, Executive will not, during the term of this Agreement, (i) accept any other employment, or (ii) engage, directly or indirectly, in any other business activity (whether or not pursued for pecuniary advantage) ), that might interfere with Executive’s duties and responsibilities hereunder or create a potential conflict of interest with the Company.

Except upon the prior written consent of the Company, Executive will shall not, during the term Term of this Agreement, (i) accept any other employment, or (ii) engage, directly or indirectly, in any other business activity (whether or not pursued for pecuniary advantage) that might interfere with Executive’s duties and responsibilities hereunder or create a conflict of interest with the Company.

Except upon the prior written consent of the Company, the Executive will not, during the term of this Agreement, (i) accept any other employment, or (ii) engage, directly or indirectly, in any other business activity (whether or not pursued for pecuniary advantage) that might could reasonably be expected to interfere with Executive’s 's duties and responsibilities hereunder or create a conflict of interest with the Company.

Except upon the prior written consent of the Company, Executive will not, during the term of this Agreement, (i) accept any other employment, or (ii) not engage, directly or indirectly, in any other business activity (whether or not pursued for pecuniary advantage) that is or may be in conflict with, or that might interfere with Executive’s duties and responsibilities hereunder or create place Executive in a conflict of interest with conflicting position to that of, the Company.

Other Activities. Except upon the prior written consent of the Company, Executive will not, during the term of this Agreement, (i) accept any other employment, or (ii) engage, directly or indirectly, in any other business activity (whether or not pursued for pecuniary advantage) that might interfere interferes with Executive’s duties and responsibilities hereunder or create a conflict of interest with the Company or (ii) engage, directly or indirectly, in any other business activity that is competitive with the Company.

Other Activities. Except upon the prior written consent of the Company, Executive will shall not, during the term of this Agreement, (i) accept any other employment, or (ii) engage, directly or indirectly, in any other business activity (whether or not pursued for pecuniary advantage) that might interfere with Executive’s 's duties and responsibilities hereunder or create a conflict of interest with the Company.

Other Activities. Except upon the prior written consent of the Company, Executive will not, during the term of this Agreement, (i) accept any other employment, or (ii) engage, directly or indirectly, in any other business activity (whether or not pursued for pecuniary advantage) that might interfere interferes with Executive’s duties and responsibilities hereunder or create a conflict of interest with the Company.

Except upon the prior written consent of the Company, Executive will not, during the term of this Agreement, (i) accept any other employment, or (ii) engage, directly or indirectly, in any other business activity (whether or not pursued for pecuniary advantage) that might interfere interferes with Executive’s duties and responsibilities hereunder or create a conflict of interest with the Company.

Other Activities. Except upon the prior written consent of the Company, Executive will not, during the term of this Agreement, (i) accept any other employment, or (ii) engage, directly or indirectly, in any other business activity (whether or not pursued for pecuniary advantage) that might interfere with Executive’s duties and responsibilities hereunder or create a conflict of interest with the Company, provided, however, that Executive may serve as Counsel to Bristol Capital Advisors, LLC.

Other Activities. Except upon the prior written consent of the Company, Executive will not, during the term Vice Chair Period of this Agreement, (i) accept any other employment, or (ii) engage, directly or indirectly, in any other business activity (whether or not pursued for pecuniary advantage) that might interfere with Executive’s duties and responsibilities hereunder or create a conflict of interest with the Company.

Other Activities. Except upon the prior written consent of the CompanyEmployer, Executive will not, during the term of this Agreement, (i) accept any other employment, or (ii) engage, directly or indirectly, in any other business activity (whether or not pursued for pecuniary advantage) that might interfere with Executive’s duties and responsibilities hereunder or create a conflict of interest with the CompanyEmployer.

Other Activities. By executing this Agreement, Executive agrees to serve in such position and to devote appropriate time, attention, loyalty and efforts to the performance of Employee’s duties. Except upon the prior written consent of the Company, Executive will not, during the term of this Agreement, (i) accept any other employment, or (ii) engage, directly or indirectly, in any other business activity (whether or not pursued for pecuniary advantage) that might interfere with Executive’s duties and responsibilities hereunder or create a conflict of interest with the Company.

Other Activities. Except upon the prior written consent of the Company, Executive will not, during the term of this Agreement, (i) accept any other employment, or (ii) engage, directly or indirectly, in any other business activity (whether or not pursued for pecuniary advantage) that might interfere with Executive’s duties and responsibilities hereunder or create a conflict of interest with the Company.. However, Executive shall be allowed to be employed by 4 Research Solutions, Inc. for the sole purpose of winding down and dissolving the entity for a period not to exceed four months after the commencement date. ​
