Each of the Lenders and the ---------------------- Administrative Agent shall have received a favorable legal opinion addressed to the Lenders and Administrative Agent from Piper & Marbury, L.L.P., FCC counsel to the Borrower and the Parent, dated as of the Closing Date, in form and substance satisfactory to the Lenders and the Administrative Agent.
