OPINION OF CERTAIN SELLERS' COUNSEL. An opinion of Rxxxxx & Wxxxx with respect to the Hxxxx Trust, an opinion of Florida counsel reasonably satisfactory to Buyer with respect to the Sentry Profit Sharing Trust and an opinion of Saul, Ewing, Rxxxxx & Sxxx LLP with respect to the Trust Under Deed of Mxxx X. Xxxxxxxx (which opinion may be included in the opinion delivered by such firm pursuant to Section 9.5 hereof) shall have been delivered to Buyer, each such opinion to the effect that the Agreement is a legal, valid and binding obligation of such Seller, enforceable against such Seller in accordance with its terms, except as limited by bankruptcy, insolvency, reorganization, moratorium or other similar laws relating to creditors' rights generally or by equitable principles (whether considered in an action at law or in equity).

  • Opinion of Counsel for the Selling Stockholder At the Closing Time, the Underwriter shall have received the opinion, dated the Closing Time, of Xxxxx Xxxx & Xxxxxxxx LLP, counsel for the Selling Stockholder, in form and substance satisfactory to counsel for the Underwriter, to the effect set forth in Exhibit B hereto, and such counsel shall have received such papers and information as they may reasonably request to enable them to pass upon such matters.
