Opening. Immediately upon the Effective Date, Seller and Buyer shall open an escrow account ("Escrow") with Title Guaranty Escrow Services, Inc., at 000 Xxxxx Xxxxxx, Xxxxxxxx, Xxxxxx, Attention: Xxxxxx Xxxxxxxxx ("Escrow Agent") for the purchase and sale of the Property pursuant to this Agreement. Delivery to Escrow Agent of a fully executed copy of this Agreement shall constitute the opening of Escrow. This Agreement shall constitute joint escrow instructions to Escrow Agent. Seller and Buyer may execute such additional instructions not inconsistent with the provisions of this Agreement. Seller and Buyer agree that, as between Seller and Buyer, if there is any conflict between the terms of this Agreement and the provisions of any additional escrow instructions, the terms of this Agreement shall control.
