Offering Amendment. If Tenant validly exercises its Right of First Offer, Landlord and Tenant, within a reasonable period of time thereafter, shall enter into an amendment (the “Offering Amendment”) adding the Offering Space to the Premises on the terms set forth in the Advice and reflecting the changes in the Base Rent, the rentable square footage of the Premises, Tenant’s Share, and other appropriate terms in accordance with this Section 4. An otherwise valid exercise of the Right of First Offer shall be fully effective whether or not the Offering Amendment is executed.
