  • Inspection at Contractor’s Site The Department reserves the right to inspect, or enlist a third-party to perform, at any reasonable time with prior notice, the equipment, product, plant or other facilities of the Contractor to assess conformity with Term Contract requirements and to determine whether they are adequate and suitable for proper and effective Term Contract performance.

  • Observers Each Sponsor and MCK shall have the right, exercisable by delivering notice to the Company, to designate one (1) non-voting observer to attend any meetings of the Board of Directors, the boards of directors and equivalent governing bodies of Echo’s Subsidiaries and any committees of either of the foregoing. Notice of meetings of the Board of Directors, the boards of directors and equivalent governing bodies of Echo’s Subsidiaries and any committees thereof shall be furnished (together with all materials to be provided to the Board of Directors) to each non-voting observer no later than, and using the same form of communication as, notice of meetings of the Board of Directors, the Board of Managers, the boards of directors and equivalent governing bodies of Echo’s Subsidiaries and any committees thereof, as the case may be, that are furnished to the members of the Board of Directors, the Board of Managers, the boards of directors and equivalent governing bodies of Echo’s Subsidiaries and any committees thereof, respectively; provided, that Echo, the Company or its Subsidiaries, as the case may be, shall be entitled to remove such observer from such portions of a meeting of the Board of Directors, the Board of Managers, the boards of directors or equivalent governing bodies of any of Echo’s Subsidiaries or any committees thereof, in each case, to the extent such observer’s presence would be likely to result in the waiver of any attorney client privilege. Any observer designated under this Section 3.1(h) shall be permitted to attend any meeting of any of the Board of Directors, the boards of directors and equivalent governing bodies of Echo’s Subsidiaries and any committees of either of the foregoing, in each case, using the same form of communication permitted for members of such Board of Directors, boards of directors and equivalent governing bodies of Echo’s Subsidiaries or any committees thereof.

  • Installation, Maintenance, Testing and Repair Unless otherwise agreed in writing by the Parties, to the extent required by Applicable Law, Interconnection provided by a Party shall be equal in quality to that provided by such Party to itself, any subsidiary, affiliates or third party. If either Party is unable to fulfill its obligations under this Section 14.2, it shall notify the other Party of its inability to do so and will negotiate alternative intervals in good faith. The Parties agree that to the extent required by Applicable Law, the standards to be used by a Party for isolating and clearing any disconnections and/or other outages or troubles shall be at parity with standards used by such Party with respect to itself, any subsidiary, affiliate or third party.

  • Signage (a) Tenant shall not, except as set forth in the next following sentence, (i) place, erect or maintain any sign, design, logo, monument, banner, pennant, decal, advertisement, picture, lettering, numerals, graphics decoration, sticker, poster, notice, or other display (collectively, “signs”), or any item of any other kind or nature, on the inside or outside of the windows or exterior of the Demised Premises (including on any awning or canopy) without the prior written approval of Landlord (which approval shall not be unreasonably withheld, conditioned or delayed), or (ii) display from within the Demised Premises any signs that are visible from the exterior of the Demised Premises, without Landlord’s prior written approval (which approval shall not be unreasonably withheld, conditioned or delayed). Tenant shall, at its sole expense, maintain all signs in good condition at all times during the Term. Upon the expiration or sooner termination of this Lease, Tenant at its own expense shall remove all signs and restore the exterior of the Demised Premises to its original condition, reasonable wear and tear excepted. Such obligation of Tenant shall survive the expiration or sooner termination of this Lease. (b) Tenant shall, at its sole cost and expense, obtain and maintain during the Term all applications, permits, consents, approvals, and licenses required by Governmental Authorities in connection with the signs. Copies of all permits and licenses shall be delivered to Landlord promptly after Tenant’s receipt thereof. Signs shall comply with all Legal Requirements and with the rules of any landmark or other commission having jurisdiction over the Building. Upon demand of Landlord, Tenant shall, at its sole cost and expense, immediately remove any signs that Tenant has replaced or permitted to be placed in violation of this clause and repair and restore any damage caused by their installation or removal.
