Obligations of the Salespersons. The SALESPERSONS, together or individually: (i) don't possess any obligation or responsibility, wants incurred, contingent or of any other nature, besides obligations civil, commercial, fiscal, environmental, labor or related to Social Security that can affect the respective ownership rights on the Shares and the Assets and they didn't assume any obligation or responsibility involving the Shares and the Assets; (ii) they are not parts, nor they are subject to, any litigation, judicial or administrative proceeding, in any instance that can affect the Shares and the Assets; and (iii) they are not guarantors, bondsmen or of other form warrantor of any obligations nor they are parts of any contract by force of which they assume any obligation to honor that of some form can compromise the Shares and the Assets.

Obligations of the Salespersons. The SALESPERSONS, together or individually: (i) they don't possess any obligation or responsibility, since incurred, contingent or of any other nature, including obligations civil, commercial, fiscal, environmental, labor or related to social security that can affect the respective ownership rights over the Agricultural Properties and they didn't assume any obligation or responsibility involving the Agricultural Properties; (ii) they are not parts, nor they are subject to, any litigation, judicial or administrative proceeding, in any instance that can affect the Agricultural Properties, except for those relative to the Processes Nr. 228/99, 243/99 and 13/00, and in the insurance contract nr. 96/70017-30, going through the procedure in the District of Xavantes, SP, which will be extinguished by the payment in agreement with the clause 3.2."i"

Related to Obligations of the Salespersons

  • Obligations of the Seller The obligations of the Seller under this Agreement will not be affected by reason of any invalidity, illegality or irregularity of the 2018-A Exchange Note or any 2018-A Lease or 2018-A Vehicle allocated to the 2018-A Reference Pool.

  • Obligations of the Sponsor The Sponsor agrees to provide the Asset Representations Reviewer with the following: • Reasonable access to the Sponsor; • Complete AUPs; • Required Documents; and • Other related information reasonably requested by the Asset Representations Reviewer to perform the Services hereunder.

  • Conditions of the Obligations of the Underwriters The obligations of the several Underwriters to purchase and pay for the Firm Securities on the First Closing Date and the Optional Securities to be purchased on each Optional Closing Date will be subject to the accuracy of the representations and warranties of the Company herein (as though made on such Closing Date), to the accuracy of the statements of Company officers made pursuant to the provisions hereof, to the performance by the Company of its obligations hereunder and to the following additional conditions precedent:
