NOW shall Clause Samples
NOW shall call a meeting of its Shareholders for ----- ------------------- the purpose of voting upon matters relating to this Agreement and the Merger to be held as soon as practicable after the date hereof. NOW will, through its Board of Directors, recommend to its Shareholders approval of this Agreement, the Merger and the other transactions contemplated hereby or thereby and will use its reasonable best efforts to cause its Shareholders to approve the Merger.
NOW shall use ALLTEL’s electronic operations support system access platform to submit orders and requests for maintenance and repair of services, and to engage in other pre-ordering, ordering, provisioning, maintenance and repair transactions. If ALLTEL has not deployed an electronic capability, NOW shall use such other processes as ALLTEL has made available for performing such transaction (including, but not limited, to submission of orders by telephonic facsimile transmission and placing trouble reports by voice telephone transmission).
NOW shall request Loop make up information pursuant to this Attachment prior to submitting a service inquiry and/or a LSR for the Loop type that NOW desires BellSouth to condition.
NOW shall submit to BellSouth a notice of its intent to access and utilize BellSouth CNAM Database Services. Said notice shall be in writing no less than sixty (60) calendar days prior to NOW’s access to BellSouth’s CNAM Database Services and shall be addressed to NOW’s Local Contract Manager.
