Notification of Licence Breaches. The User shall immediately notify Software Escrow Guardians of any notices received by the User that might adversely affect Software Escrow Guardians including without limitation notices of actual or potential 3rd party claims or proceedings arising from, connected with or relating to Escrow Backup Utility software, In addition the User will immediately notify Software Escrow Guardians of any breaches or purported breaches of this Agreement or of the Licence of which the User becomes aware or has a reasonable suspicion for believing may have occurred. The User shall take all reasonable steps to protect any software or intellectual property rights acquired or otherwise used by it in the provision of the Services by Software Escrow Guardians, and acknowledges that these rights may include the rights of entities who have entered licence agreements with Software Escrow Guardians, and that such entities may accrue rights directly against the User in the event of a breach of this Agreement.
