Common use of Notice to Sublessee Clause in Contracts

Notice to Sublessee. Sublessor shall promptly after obtaining actual knowledge thereof notify the Sublessee of any claim as to which indemnification is sought; provided that a failure to so notify will not diminish or relieve Sublessee of any obligations hereunder, unless such failure materially adversely affects Sublessee's defence of such claim and directly results in a material increase in liability of the Sublessee in respect of such claim or prevents it from materially reducing liability therefor, in which case the Sublessee shall not be required to indemnify such Indemnitee for the amount by which such liability was increased or not reduced.
