Common use of Notice to Insurers Clause in Contracts

Notice to Insurers. If, at the time of receipt by the Company of a notice from any source of a Legal Action as to which Indemnitee is a party or participant, the Company will give prompt notice of such Legal Action to the insurers in accordance with the procedures set forth in the respective policies, the Company will provide Indemnitee with a copy of such notice. The Company will thereafter take all necessary or desirable actions to cause such insurers to pay, on behalf of Indemnitee, all amounts payable as a result of such Legal Action in accordance with the terms of such policies.

The Company will thereafter take all necessary or desirable actions to cause such insurers to pay, on behalf enforce the rights of Indemnitee, all amounts payable as a result of such Legal Action in accordance with the terms of Company and any Indemnitee under such policies.
