Notice of Intended Exchange Consideration. At least two (2) Business Days before the Exchange Date, the Managing Member shall give written notice (the “Contribution Notice”) to the Company (with a copy to the Exchangeable Unit Member) of its intended Exchange Consideration; provided, that if the Managing Member does not timely deliver a Contribution Notice, the Managing Member shall be deemed to have elected to settle the Exchange with shares of Class A Common Stock.

Notice of Intended Exchange Consideration. On the later of (i) at least two (2) Business Days before the Exchange Date and (ii) one (1) Business Day after receiving an Elective Exchange Notice, the General Partner shall give written notice to the Partnership (with a copy to the Exchangeable Interest Partner) of its intended Exchange Consideration. If the General Partner does not timely deliver such written notice, the General Partner shall be deemed to have elected to settle the Exchange with shares of Class A Common Stock.
