No Termination of Business Relationship. None of the entities with which the Company has a material business relationship or any other present material customer of the Company has given notice of any intention to cancel or otherwise terminate a material business relationship with the Company and the Company has no knowledge of any event (including, without limitation, the transactions contemplated hereby) which would precipitate the cancellation or termination of, or entitle any such entity or customer to terminate, such a material business relationship.
No Termination of Business Relationship. Since January 1, 2004 through the date hereof, no counterparty to any Material Company Agreement has given notice in writing of any intention to cancel or otherwise terminate, prior to the end of the applicable contract term, such Material Company Agreement.

Except as --------------------------------------- set forth in Section 3.27 of the Company Disclosure Schedule, since March 31, 2001 through the date hereof, (a) none of the Persons with which the Company or any Company Subsidiary has a material business relationship has given notice in writing or, to the knowledge of the Company, other indication of any intention to cancel or otherwise terminate, prior to the end of the applicable contract term, a material business relationship with the Company or any Company Subsidiary and, (b) to the knowledge of the Company as of the date hereof, no event has occurred or failed to occur which (i) would, to the knowledge of the Company as of the date hereof, would reasonably be likely to precipitate the cancellation or termination of such a business relationship or (ii) would reasonably be likely to entitle any such entity or customer to terminate such a business relationship other than in accordance with the terms of a contract as in effect on the date hereof.

Since January 1, 1999 through the date hereof, none of the Persons with which Preview or any Subsidiary has a material business relationship has given notice in writing or other indication in writing of any intention to cancel or otherwise terminate, prior to the end of the applicable contract term, a material business relationship with Preview or any Subsidiary and, to the knowledge of Preview as of the date hereof, no event has occurred or failed to occur which (i) would, to the knowledge of Preview as of the date hereof, precipitate the cancellation or termination of such a business relationship or (ii) would entitle any such entity or customer to terminate such a business relationship.

Since January 1, 1999 through the date hereof, none of the Persons with which the Travelocity Business has a material business relationship has given notice in writing or other indication in writing of any intention to cancel or otherwise terminate, prior to the end of the applicable contract term, a material business relationship with the Travelocity Business and, to the knowledge of Sabre, no event has occurred or failed to occur which would (i) precipitate the cancellation or termination of, or (ii) entitle any such entity or customer to terminate, such a business relationship.

Except as disclosed on Section 3.25 of the MAT Disclosure Schedule, no supplier of MAT, and none of the present customers or groups of customers of MAT, has given MAT or any of the Selling Shareholders any indication of a desire to cancel or otherwise terminate a material business relationship and no key employee of MAT has given MAT or any of the Selling Shareholders notice of a desire or intent to terminate employment.
