No Non-ordinary Course Transactions. From and after the Fourth Amendment Effective Date, no Note Party shall, or shall permit any of its Subsidiaries to, make any payment, transfer any assets, impose any liens or commence or engage in any transaction outside the ordinary course of the business of such Note Party or Subsidiary, as applicable, including, for the avoidance of doubt, any Strategic Transaction, unless such payment, transfer, imposition or transaction is disclosed in the Budget and approved by the Agent, acting in its sole discretion (which approval may be given by approving a Budget which includes an itemized description of such payment, transfer, agreement or transaction, as applicable), or disclosed in writing and approved in writing (which may be by email) by the Agent, acting in its sole discretion.

  • Business in Ordinary Course (a) Except as may be required to obtain regulatory approvals or as otherwise may be required by any regulatory authority, after the date of this Agreement, Seller shall not, without the prior written consent of Buyer (which consent shall not be unreasonably withheld):
