No consent, approval, order or authorization of, or registration, declaration or filing with, any governmental authority on the Company's or the Stockholders' part is required in connection with the Stockholders' execution, delivery or performance of this Agreement.

Except for customary qualification and obtaining permits and licenses necessary to conduct the Business, no consent, approval, order or authorization of, or registration, declaration or filing with, any governmental or public unit, agency, body or authority on the part of Dollar is required in connection with the execution and delivery of, consummation of any transaction contemplated by, or performance of or compliance with its obligations under this Agreement or Dollar Delivered Agreements.
