Common use of No Filing or Stamp Taxes Clause in Contracts

No Filing or Stamp Taxes. It is not necessary that this Assignment be filed, recorded or enrolled with any court or other authority in England (or any other applicable jurisdiction) except as have been made or will be made in accordance with the Credit Agreements, or that any stamp, registration or similar tax be paid on or in relation to this Assignment save (i) to the extent that it may be regarded as constituting a charge over book debts and thus as registrable under the Companies Xxx 0000 and (ii) recording taxes which have been or will be paid as and to the extent due.
