The Executive and the Company acknowledge and agree that nothing contained in this Amendment shall be construed as requiring the Executive to seek or accept alternative or replacement employment in the event of his termination of employment by the Company for any reason, and no payment or benefit payable hereunder shall be conditioned on the Executive’s seeking or accepting such alternative or replacement employment.
