MSRB Rule G-34. In the event the City delivers or permits, authorizes or consents to the delivery of this Agreement and the Letter of Credit (including without limitation any amendments hereto and thereto) to the Remarketing Agent or any other Person for delivery to the Municipal Securities Rulemaking Board pursuant to Rule G-34 of the Municipal Securities Rulemaking Board (“Rule G-34”), the City shall cooperate with the Bank to provide for the redaction of information permitted to be redacted under Rule G-34. Upon reasonable written request from the Remarketing Agent or the City, the Bank agrees to use commercially reasonable efforts to provide copies of amendments, extensions and modifications of this Agreement and the Letter of Credit that the Remarketing Agent is required to file in accordance with Rule G-34, other than information which is permitted to be redacted in accordance with such Rule. Without the consent of the Bank, the City will not make available the Fee Agreement for filing pursuant to Rule G-34.

  • GEM LISTING RULES IMPLICATIONS As certain of the applicable percentage ratios (as defined under the GEM Listing Rules) in respect of the unsecured loan granted under the Supplemental Agreement to the Borrower were more than 5% but less than 25%, the unsecured loan granted under the Supplemental Agreement constitutes a discloseable transaction of the Company under Chapter 19 of the GEM Listing Rules and is therefore subject to reporting and announcement requirements under the GEM Listing Rules.
