MFI Clause Samples

The MFI (Most Favored Institution) clause ensures that a party to an agreement receives terms that are at least as favorable as those offered to any other party in similar agreements. In practice, if the counterparty later grants better terms to another institution, the party with the MFI clause is entitled to those improved terms automatically or upon request. This clause is commonly used in financial, investment, or licensing agreements to protect parties from being disadvantaged by less favorable terms, thereby promoting fairness and competitive equality among all participants.
MFI is granted full piggyback registration rights it may exercise on the shares issued in lieu of satisfaction of the Other Debts and on the shares underlying the Convertible Subordinated Debt in the event, without regard to when, THAT executes a substantial, underwritten secondary offering. In this case, substantial shall mean one resulting in net proceeds to THAT of $10 million or more ("Offering"). Further, MFI is granted priority and first position as a selling shareholder, should such Offering occur, to the extent it owns either shares or CSD at such time. Such priority rights are subject to the Underwriter's agreement and ability to include such shares in the Offering. Further, MFI's priority rights under this paragraph are limited to receiving $2,377,020 (the total of the Shortfall and Other Debts, as herein defined) in net proceeds from such Offering. To the extent that the Underwriter is able and to the extent that MFI wishes to participate further as a selling shareholder in any such Offering, MFI is granted a priority over shares owned directly, indirectly, beneficially or deemed to be controlled by ▇▇▇▇▇▇ ▇. ▇▇▇▇▇▇, ▇▇▇▇▇▇▇ ▇▇▇▇▇▇▇▇, and/or ▇▇▇▇▇▇▇ ▇▇▇▇ ▇▇▇▇▇▇▇▇.
MFI. Medford Co-operative, and each other Subsidiary of MFI currently maintain insurance considered by each of them to be reasonable for their respective operations. Neither MFI, Medford Co- operative, nor any other Subsidiary of MFI, has received notice from any insurance carrier on or before the date hereof that (i) such insurance will be canceled or that coverage thereunder will be reduced or eliminated, or (ii) premium costs with respect to such policies of insurance will be substantially increased. There are presently no material claims pending under such policies of insurance and no notices have been given by MFI, Medford Co-operative, or any other Subsidiary of MFI under such policies. All such insurance is valid and enforceable and in full force and effect (other than insurance that expires in accordance with its terms), and within the last three years MFI, Medford Co-operative, and each other Subsidiary of MFI has received each type of insurance coverage for which it has applied and during such periods has not been denied indemnification for any material claims submitted under any of its insurance policies.   • Company Subsidiaries As of the date of this Agreement, the Company has Previously Disclosed a true, complete and correct list of each entity in which the Company, directly or indirectly, owns sufficient capital stock or holds a sufficient equity or similar interest such that it is consolidated with the Company in the financial statements of the Company or has the power to elect a majority of the board of directors or other persons performing similar functions (each, a “Company Subsidiary” and, collectively, the “Company Subsidiaries”). Except for the Company Subsidiaries and as Previously Disclosed, the Company does not own beneficially or control, directly or indirectly, more than 5% of any class of equity securities or similar interests of any corporation, bank, business trust, association or similar organization, and is not, directly or indirectly, a partner in any general partnership or party to any joint venture or similar arrangement. The Company owns, directly or indirectly, all of its interests in each Company Subsidiary free and clear of any and all Liens.   • Cornerstone shall use its best efforts to register or qualify such shares under such other securities or "blue sky" laws of such jurisdictions as the LLC reasonably requests and do any and all other acts and things which may be reasonably necessary or advisable to enable the LLC to consummate the disposition in such jurisdictions of the Registered Shares (provided that Cornerstone shall not be required to (i) qualify generally to do business in any jurisdiction in which it would not otherwise be required to qualify but for this Section 6.9, (ii) subject itself to taxation in any such jurisdiction, or (iii) consent to general service of process in any such jurisdiction).
