Using the Operator’s monthly invoices, AHS will provide the Operator with a summary for each month of the Term summarizing the Total Contract Value paid to the Operator during the applicable month. If any of these reports reveal that the Operator is failing to achieve the desired completion ratio, AHS reserves the right to reallocate the remaining Contract Value allocated to the Operator to another contracted facility having sufficient capacity for that fiscal year. The Estimated Total Contract Value indicated above should in no way be taken to be a representation, warranty or guarantee by AHS that the Operator will have sufficient insured procedures to achieve the stated maximum annual funding payable during the term of this Agreement. In accordance with section 3.5 of this Agreement, AHS does not guarantee that any minimum number of procedures will be performed in the facility, or that any minimum amount of service fees will be payable to the Operator during the term of this Agreement. THE ACTUAL TOTAL CONTRACT VALUE FOR YEARS 2, 3, 4 AND 5 OF THE TERM IS ENTIRELY DEPENDENT ON AHS’ BUDGET AVAILABILITY FOR THOSE YEARS AND MAY BE LESS THAN THE ESTIMATED TOTAL CONTRACT VALUE SET OUT ABOVE. FOR FURTHER CLARITY, AHS RESERVES THE RIGHT, IN YEARS 2, 3, 4 AND 5 OF THE TERM, TO REDUCE THE VOLUMES PAID OUT AT THE RATES SPECIFIED IN SCHEDULE “B”, SECTION II, “SERVICE FEES.” The maximum contract value includes a 30% contingency amount.
