Master Partnership’s Expenses. The Limited Partners acknowledge that they will also bear, as indirect investors in the Master Partnership, their pro rata share of the expenses similar to those described in Section 2.08 incurred by the Master Partnership or any trading subsidiaries or other subsidiaries thereof (including a Fund Entity). Because the Onshore Partnership is expected to operate as part of the Fund’s overall investment program, certain expenses, such as organizational, operating and investment related expenses related to a Portfolio Investment, may be allocated among the Onshore Partnership, Offshore Company and any Parallel Funds (without duplication) pro rata based on capital invested in such Portfolio Investments, or other basis deemed appropriate by the General Partner, to reflect each participating entity’s investment.

  • Travelling Allowances (a) If the engagement is for a concert or rehearsal at a venue which is over fifteen miles from the recognised central point of the musician’s normal centre of employment, and alternative transport is not provided and paid for by the engager, a travelling allowance of 36p per mile shall be paid for all miles necessarily travelled on land in reaching, fulfilling and returning from the engagement. ‘Alternative transport’ shall not include the shared use of another musician’s car.

  • Buyer’s Expenses Buyer agrees to pay all expenses incident to any purchase money loan (e.g. Loan commitment fees, preparation of note, mortgage, and other loan documents, recording fees, prepaid interest and credit reports) and any fees for endorsements to the Title Policy requested by Buyer. The insured closing fee, and the disclosure of sales information form will be split equally between Seller and Buyer.
