Common use of MASTER CONTRACT Clause in Contracts

MASTER CONTRACT. This Master Contract (or “Contract”) is entered into on July 1, 2021, between Newark Unified School District, hereinafter referred to as the local educational agency ("LEA"), a member of the Mission Valley SELPA and Ed Sped Solutions (nonpublic, nonsectarian school or agency), hereinafter referred to as NPS/A or “CONTRACTOR” for the purpose of providing special education and/or related services to students with exceptional needs under the authorization of California Education Code sections 56157, 56361 and 56365 et seq. and Title 5 of the California Code of Regulations section 3000 et seq., AB490 (Chapter 862, Statutes of 2003) and AB1858 (Chapter 914, Statutes of 2004). It is understood that this agreement does not commit LEA to pay for special education and/or related services provided to any student, or CONTRACTOR to provide such special education and/or related services, unless and until an authorized LEA representative approves the provision of special education and/or related services by CONTRACTOR. Upon acceptance of a student, ▇▇▇ shall submit to CONTRACTOR an Individual Services Agreement (hereinafter referred to as “ISA”). Unless otherwise agreed in writing, these forms shall acknowledge CONTRACTOR’s obligation to provide all relevant services specified in the student’s Individualized Education Program (hereinafter referred to as “IEP”). The ISA shall be executed within ninety (90) days of a student’s enrollment. ▇▇▇ and CONTRACTOR shall enter into an ISA for each student served by CONTRACTOR. As available and appropriate, the LEA shall make available access to any electronic IEP system and/or electronic database for ISA developing including invoicing. Unless placement and/or services is made pursuant to an Office of Administrative Hearings (hereinafter referred to as “OAH”) order, a lawfully executed settlement agreement between LEA and parent or authorized by ▇▇▇ for a transfer student pursuant to California Education Code section 56325, ▇▇▇ is not responsible for the costs associated with NPS placement or NPS/A services until the date on which an IEP team meeting is convened, the IEP team determines that a NPS placement is appropriate, and the IEP is signed by the student’s parent.

Unless placement and/or services is made pursuant to an Office of Administrative Hearings (hereinafter referred to as “OAH”) order, a lawfully executed settlement agreement between LEA Shasta SELPA/District of Residence and parent or authorized by ▇▇▇ Shasta SELPA/District of Residence for a transfer student pursuant to California Education Code section 56325, ▇▇▇ Shasta SELPA/District of Residence is not responsible for the costs associated with NPS nonpublic school placement or NPS/A services until the date on which an IEP team meeting is convened, the IEP team determines that a NPS nonpublic school placement is appropriate, and the IEP is signed by the student’s parent.

(hereinafter referred to as “NPS/A A” or “CONTRACTOR”) for the purpose of providing special education and/or related services Related Services to LEA students with exceptional needs under the authorization of California Education Code sections 56157, 56361 and 56365 et seq. and Title 5 of the California Code of Regulations section 3000 et seq., AB490 AB 490 (Chapter 862, Statutes of 2003) and AB1858 AB 1858 (Chapter 914, Statutes of 2004). CONTRACTOR shall not admit a student living within the jurisdictional boundaries of the LEA on a “private pay or tuition free scholarship” basis and concurrently or subsequently advise, actively support or request parent(s) to pursue funding for the admitted school year from the LEA through due process proceedings.

MASTER CONTRACT. This Master Contract (or “Contract”) is entered into on July 1this 1st day of July, 20212014, between Newark Unified School District, Westlake Charter Schools (hereinafter referred to as the local educational agency “LEA”) and ▇▇▇▇▇ ▇▇▇▇▇, Contractor ("LEA"), a member of the Mission Valley SELPA and Ed Sped Solutions (nonpublic, nonsectarian school or agency), hereinafter referred to as NPS/A or “CONTRACTOR”) for the purpose of providing special education and/or related services to LEA students with exceptional needs under the authorization of California Education Code sections 56157, 56361 and 56365 et seq. and Title 5 of the California Code of Regulations section 3000 et seq., AB490 (Chapter 862, Statutes of 2003) and AB1858 (Chapter 914, Statutes of 2004). It is understood that this agreement does not commit LEA to pay for special education and/or related services provided to any LEA student, or CONTRACTOR to provide such special education and/or related services, unless and until an authorized LEA representative approves the provision of special education and/or related services by CONTRACTOR. Upon acceptance of a LEA student, ▇▇▇ CONTRACTOR shall submit to CONTRACTOR LEA an Individual Services Agreement (hereinafter referred to as “ISA”)) and a Nonpublic Services Student Enrollment form as specified in the LEA Procedures. Unless otherwise agreed in writing, these forms shall acknowledge CONTRACTOR’s obligation to provide all relevant services specified in the student’s Individualized Education Program Plan (hereinafter referred to as “IEP”). The ISA shall be executed within ninety (90) days of a an LEA student’s enrollment. ▇▇▇ and CONTRACTOR shall enter into an ISA for each LEA student served by CONTRACTOR. As available and appropriate, the LEA shall make available access to any electronic IEP system and/or and /or electronic database data base for ISA developing including invoicing. Unless placement and/or services is made pursuant to an Office of Administrative Hearings (hereinafter referred to as “OAH”) order, a lawfully executed settlement agreement between LEA and parent or authorized by ▇▇▇ for a transfer student pursuant to California Education Code section 56325, ▇▇▇ is not responsible for the costs associated with NPS nonpublic agency placement or NPS/A services until the date on which an IEP team meeting is convened, the IEP team determines that a NPS nonpublic agency placement is appropriate, and the IEP is signed by the LEA student’s parent.

CONTRACTOR shall not admit a student living within the jurisdictional boundaries of the LEA on a private pay or tuition free “scholarship” basis and concurrently or actively support or request parent(s) to pursue funding for the admitted school year from the LEA through due process proceedings.

Unless placement and/or services is made pursuant to an Office of Administrative Hearings (hereinafter referred to as “OAH”) order, a lawfully executed settlement agreement between LEA and parent or parent, authorized by ▇▇▇ for a transfer student pursuant to California Education Code section 56325, or otherwise authorized by ▇▇▇ without a signed IEP, LEA is not responsible for the costs associated with NPS nonpublic school placement or NPS/A nonpublic agency services until the date on which an IEP team meeting is convened, the IEP team determines that a NPS nonpublic school placement or nonpublic agency services is appropriate, and the IEP is signed by the LEA student’s parent.

Upon acceptance of a student, ▇▇▇ shall submit to CONTRACTOR an Individual Services Service Agreement (hereinafter referred to as “ISA”)) and a Nonpublic Services student Enrollment form as specified in the LEA Procedures. Unless otherwise agreed in writing, these forms shall acknowledge CONTRACTOR’s obligation to provide all relevant services specified in the student’s Individualized Education Program (hereinafter referred to as “IEP”). The ISA shall be executed within ninety fifteen (9015) days of a student’s enrollment. ▇▇▇ and CONTRACTOR shall enter into an ISA for each student served by CONTRACTOR. As available and appropriate, the LEA shall make available access to any electronic IEP system and/or electronic database for the development of the ISA developing including invoicingand invoices. Unless placement and/or services is made pursuant to an Office Office of Administrative Hearings (hereinafter referred to as “OAH”) order, a lawfully executed settlement agreement between LEA and parent or authorized by ▇▇▇ for a transfer student pursuant to California Education Code section 56325, ▇▇▇ is not responsible for the costs associated with NPS placement or NPS/A services until the date on which an IEP team meeting is convened, the IEP team determines that a NPS placement is appropriate, and the IEP is signed by the student’s parent.
