Manager’s Responsibility. MANAGER, in the exercise of its powers and performance of its duties and obligations under this Agreement shall be solely responsible to the Board of Directors of the ASSOCIATION, who for all Purposes of this Agreement represent all lot owners in the ASSOCIATION.
