Making Authority Clause Samples

The Making Authority clause defines which individuals or entities within an organization have the legal power to enter into binding agreements or make decisions on behalf of the company. In practice, this clause typically specifies titles, roles, or specific persons who are authorized to sign contracts, approve transactions, or commit the organization to obligations. By clearly identifying who holds this authority, the clause helps prevent unauthorized commitments and ensures that only duly empowered representatives can bind the organization, thereby reducing the risk of disputes over the validity of agreements.
