Common use of Maintenance of Fund's Assets Abroad Clause in Contracts

Maintenance of Fund's Assets Abroad. The Fund, acting through its Board or its duly authorized representative, hereby instructs Delegate pursuant to the terms of the Custodian Agreement to place and maintain the Fund's Assets within the countries listed in Schedule 1 attached hereto (as such Schedule may be amended from time to time in accordance herewith). Such instruction shall be deemed to include an instruction to use any Compulsory Securities Depository in any such country and shall represent a Proper Instruction under the terms of the Custodian Agreement. Countries may be added to Schedule 1 by written instruction of the Fund that is accepted in writing by the Delegate as an amendment to Schedule 1. With respect to amendments adding countries to Schedule 1, the Fund acknowledges that - (a) the Delegate shall perform services hereunder with respect to the countries where it provides custodial services to the Fund under the Custodian Agreement; (b) depending on conditions in the particular country, advance notice may be required before the Delegate shall be able to perform its duties hereunder in or with respect to such country (such advance notice to be reasonable in light of the specific facts and circumstances attendant to performance of duties in such country); and (c) nothing in this Agreement shall require the Delegate to provide delegated or custodial services in any country not listed in Schedule 1 until such amended Schedule 1 has been accepted by the Delegate in accordance herewith.

The FundTrust, acting through its Board or its duly authorized representative, hereby instructs the Delegate pursuant to the terms of the Custodian Agreement to place and maintain the each Fund's Assets within the countries listed in Schedule 1 attached hereto (as such Schedule may be amended from time to time in accordance herewith). Such instruction shall be deemed to include an instruction to use any Compulsory Securities Depository in any such country and shall represent a Proper an Instruction under the terms of the Custodian Agreement. Countries may be added to Schedule 1 by written instruction of the a Fund that is accepted in writing by the Delegate as an amendment to Schedule 1. With respect to amendments adding countries to Schedule 1, the each Fund acknowledges that - (a) the Delegate shall perform services hereunder only with respect to the countries where it provides custodial services to the Fund under the Custodian Agreement; (b) depending on conditions in the particular country, advance notice may be required before the Delegate shall be able to perform its duties hereunder in or with respect to such country (such advance notice to be reasonable in light of the specific facts and circumstances attendant to performance of duties in such country); and (c) nothing in this Agreement shall require the Delegate to provide delegated or custodial services in any country not listed in Schedule 1 until such amended Schedule 1 has been accepted by the Delegate in accordance herewith. Unless directed by an Instruction from an Authorized Person, the Delegate shall not maintain a Fund's Assets in any jurisdiction not listed in Schedule 1.

The FundCompany, acting through its Board Boar or its duly authorized representative, hereby instructs authorizes Delegate pursuant to the terms of the Custodian Agreement to place and maintain the Fund's Assets within the countries listed in Schedule 1 I attached hereto to the Custodian Agreement ("Schedule 1") (as such Schedule may be amended from time to time in accordance herewith). Such instruction authorization shall be deemed to include an instruction to use any Compulsory Securities Depository approved by the Board in any such country and shall represent a Proper Instruction under the terms of the Custodian Agreementcountry. Countries may be added to and deleted from Schedule 1 by written instruction of the Fund that is accepted INSTRUCTION OF THE COMPANY THAT IS ACCEPTED in writing by the Delegate as an amendment to Schedule 1. With respect to amendments adding countries to Schedule 1, the Fund Company acknowledges that - (a) the Delegate shall perform services hereunder only with respect to the countries where it provides custodial services to the Fund Company under the Custodian Agreement; (b) depending on conditions in the particular country, advance notice may be required before the Delegate shall be able to perform its duties hereunder in or with respect to such country (such advance notice to be reasonable in light of the specific facts and circumstances attendant to performance of duties in such country); and (c) nothing in this Agreement shall require the Delegate to provide delegated or custodial services in any country not listed in Schedule 1 until such amended Schedule 1 I has been accepted by the Delegate in accordance herewith.

The Fund, acting through its Board or its duly authorized representative, hereby instructs Delegate pursuant to the terms of the Custodian Agreement dated as of the date hereof executed by and between the Fund and the Delegate (the CUSTODIAN AGREEMENT) to place and maintain the Fund's Assets within in countries outside the countries listed in Schedule 1 attached hereto (as such Schedule may be amended from time to time United States in accordance herewith)with Instructions received from the Fund's Investment Advisor and in accordance with this Schedule. Such instruction shall be deemed to include represent an instruction to use any Compulsory Securities Depository in any such country and shall represent a Proper Instruction under the terms of the Custodian Agreement. Countries may be added to Schedule 1 by written instruction of the Fund that is accepted in writing by the Delegate as an amendment to Schedule 1. With respect to amendments adding countries to Schedule 1, the The Fund acknowledges that - (a) the Delegate shall perform services hereunder only with respect to the countries where it provides custodial services accepts delegation as Foreign Custody Manager as indicated on Delegate's Global Custody Network Listing, as may be revised from time to the Fund under the Custodian Agreementtime upon advance written notice to Fund; (b) depending on conditions in the particular country, advance notice may be required before the Delegate shall be able to perform its duties hereunder in or with respect to such country (such advance notice to be reasonable in light of the specific facts and circumstances attendant to performance of duties in such country); and (c) nothing in this Agreement Delegation Schedule shall require the Delegate to provide delegated or custodial services in any country not listed in Schedule 1 until such amended Schedule 1 has been accepted by country, and there may from time to time be countries as to which the Delegate in accordance herewithdetermines it will not provide delegation services. Delegate will provide the Fund with advance written notice of such countries.

Such instruction authorization shall be deemed to include an instruction to use any Compulsory Securities Depository approved by the Board in any such country and shall represent a Proper Instruction under the terms of the Custodian Agreementcountry. Countries may be added to and deleted from Schedule 1 by written instruction of the Fund Company that is accepted in writing by the Delegate as an amendment to Schedule 1. The Each Fund, acting through its Board or its duly authorized representative, hereby instructs the Delegate pursuant to the terms of the Custodian Agreement dated as of the date hereof by and between the Trust, on behalf of each Fund and the Delegate (as amended from time to time, the “Custodian Agreement”) to place and maintain the Fund's ’s Assets within in countries outside the countries United States listed in Schedule 1 2 attached hereto (as such Schedule schedule may be amended from time to time in accordance herewith). Such instruction shall be deemed to include an instruction to use any Compulsory Securities Depository in any such country and shall represent a Proper Instruction under the terms of the Custodian Agreement. Countries accepted by the Delegate may be added to Schedule 1 by written instruction of the Fund that is accepted in writing by the Delegate 2 as an amendment to Schedule 1thereto in accordance with Instructions received from the Fund’s Investment Advisor. With respect to amendments Schedule 2 and any amendment adding countries to Schedule 12, the Fund acknowledges that - (a) the Delegate shall perform services hereunder only with respect to the countries where it provides custodial services to the Fund under the Custodian Agreement; (b) depending on conditions in the particular country, advance notice may be required before the Delegate shall be able to perform its duties hereunder in or with respect to such country (such advance notice to be reasonable in light of the specific facts and circumstances attendant to performance of duties in such country); and (c) nothing in this Agreement Delegation Schedule shall require the Delegate to provide delegated or custodial services in any country not listed in Schedule 1 2 until such an amended Schedule 1 2 has been accepted by the Delegate in accordance herewithDelegate.
