LIMITED LIABILITY; NO RIGHT OF MANAGEMENT OR AUTHORITY TO ACT. The liability of each Member for the debts or losses of the Company shall be limited to the amount of such Member's uncontributed obligation for a Capital Contribution by such Member, if any. No Member shall be responsible for the debts or losses of any other Member. No Member (other than the Manager or any officer, director, employee, partner, agent or trustee of the Manager, or the Company, in their capacity as such) shall take part in the operation, management or control (within the meaning of the Act) of the Company's business, transact any business in the Company's name or have the power to sign documents for or otherwise bind the Company, except as may be explicitly provided herein.

Furthermore, and notwithstanding the provisions of Section 4.4, no credit shall be given by Beneficiary for any Rents until the money collected is actually received by Beneficiary at its principal office, or at such other place as Beneficiary shall designate in writing, and no such credit shall be given for any Rents after termination of the License, after foreclosure or other transfer of the Property (or part thereof from which Rents are derived pursuant to this Deed of Trust) to Beneficiary or any other third party.

  • Limited Liability Company Existence (a) During the term of this Agreement, the Depositor will keep in full force and effect its existence, rights and franchises as a limited liability company under the laws of the jurisdiction of its formation and will obtain and preserve its qualification to do business in each jurisdiction in which such qualification is or shall be necessary to protect the validity and enforceability of this Agreement, the Basic Documents and each other instrument or agreement necessary or appropriate to the proper administration of this Agreement and the transactions contemplated hereby.
