Licensee Warranties. Licensee warrants that (i) it has the authority to enter into this Agreement and to comply with its obligations hereunder and (ii) it shall at all times fully comply with all laws and regulations applicable with respect to any use of the Products and Professional Services.
Licensee Warranties. Notwithstanding Section 10.1, Licensee warrants that: they have authority to enter into this Agreement; the signatory has the authority to sign on behalf of Licensee; as of the Effective Date and to the best of its knowledge, Licensee is not debarred or suspended by any agency of the U.S. government; and they will not use or manufacture a technology in the performance of this Agreement that infringes or otherwise adversely impacts any third-party intellectual property rights.

Licensee Warranties. Licensee represents, warrants and covenants that the Property will be presented in its entirety as it appears in published form authorized by the Author(s) and that the Author(s)’s intent will be respected in the Licensee’s production. No changes, interpolations, additions, or deletions will be made in the Property for the purpose of Licensee’s production or otherwise. Licensee represents, warrants and covenants that Licensees shall comply with the following:
Licensee Warranties. Licensee warrants that its will use its best commercial efforts to manufacture, promote distribute and sell the Licensed Products whether through the direct action of Licensee, its agents or sub-licenses as permitted hereunder.
Licensee Warranties. LICENSEE (a) is entitled to enter in this Agreement and to perform its obligations thereunder; (b) LICENSEE does not violate any law, regulation, order or its existing contractual obligations by executing, delivering and performing this Agreement; and (c) LICENSEE has duly executed this Agreement, which constitutes a legal valid and binding obligation of LICENSEE, enforceable against LICENSEE in accordance with its terms.
Licensee Warranties. (i) Licensee represents and warrants that it will use its reasonable commercial efforts to manufacture, market, sell, and distribute the Licensed Product and that its manufacture, marketing, sale and distribution of the Licensed Product shall be in conformance with all applicable laws and regulations.
Licensee Warranties. Licensee warrants and represents that the Licensed Products will be distributed, advertised, promoted and sold in accordance with all applicable laws, rules and regulations. Licensee is entitled solely during the Term or any renewals to use the Licensed Technology, Patents and Trademarks as it sees fit in advertising material or otherwise to promote the sale of the Licensed Products.
