LEGAL OPINION, ETC. The Agent, for the benefit of the Lenders, and its counsel shall have received a legal opinion from the Borrower's General Counsel in form and substance acceptable to the Agent, together with such corporate authority, officer's certificates and supporting documentation as the Agent may reasonably request.
