Legal Liability. 27.01 The Employer shall indemnify and save harmless each Employee against damages and legal costs relating to any action or claim against the Employee arising out of his or her employment activities or responsibilities, or any activities or responsibilities incidental thereto, save and except in the case of dishonest, fraudulent, criminal or malicious acts, gross negligence or willful misconduct. Timely notice will be given to the Employer of any action or claim or potential or threatened action or claim of which the Employee has knowledge or might be reasonably expected to have knowledge. Legal counsel will be provided by the Employer.
